Terms & Conditions
AGREEMENT
These Terms of Service ("Terms") govern your use of EXELVO AI's website, products, and services. By engaging with us or using our website, you agree to these Terms.
EXELVO AI is a product of Parakeeet AI Pvt. Ltd. ("we", "us", "our"), incorporated in India, with operations across the UK, USA, Australia, and India.
If you do not agree to these Terms, do not use our services.

OUR SERVICES
EXELVO AI provides done-for-you AI automation services, including but not limited to:
AI voice agents
Lead response systems
Automation infrastructure
CRM integration and configuration
Custom workflow builds
Specific deliverables, timelines, and inclusions are agreed during your strategy call and confirmed in your service agreement.

FEES AND PAYMENT
Build Fee: A one-time fee is due before setup work begins. Non-refundable once work has commenced.
Monthly Subscription: Billed monthly in advance via your chosen payment method.
Currency: All pricing is displayed in GBP (£) unless otherwise agreed in your service agreement.
Late Payments: If payment fails, we will attempt to notify you. Services may be paused after 7 days of non-payment and suspended after 14 days.
Price Changes: We may update pricing with 30 days' written notice. Existing clients remain at their current rate for a minimum of 6 months after any change.

ONBOARDING AND DELIVERY
Build timelines vary by plan:
Respond: 2–7 days
Convert: 1–2 weeks
Dominate: 2–3 weeks
Enterprise: Custom scope
These are estimates, not guarantees. Timelines may extend if delays are caused by third-party platforms or by your failure to provide required access, approvals, or assets.
We will notify you when your system is live and provide onboarding documentation.

YOUR RESPONSIBILITIES
To deliver the services, we require your cooperation. You agree to:
Provide timely access to required systems (CRM, messaging platforms, ad accounts, domains)
Approve AI scripts, tone guidelines, and configurations before go-live
Respond to onboarding requests within reasonable timelines
Use the service lawfully and in line with our Acceptable Use Policy
Keep login credentials secure and notify us of any unauthorised access

OUR GUARANTEES
We offer three guarantees with every plan:
30-Day Performance: Response times under 30 seconds within 30 days of go-live, or your next month's subscription is free.
No Lock-In: Month-to-month service. Cancel anytime. No exit fees. No annual contracts.
You Keep Everything: On termination, you retain ownership of your CRM, automations, scripts, and playbook — built or optimised during our engagement.
Guarantees do not apply where delays or failures are caused by third-party platform outages, external service providers, or your failure to provide required access or approvals.

INTELLECTUAL PROPERTY
You Own: Your business data, CRM records, customer information, automations built for your workflows, and the scripts tailored to your brand remain your property.
We Retain: Our proprietary architecture, underlying models, methodologies, templates, and the EXELVO brand identity remain our property and are not transferred.
Licence: You grant us a limited, non-exclusive licence to process your data solely for the purpose of delivering the services under your agreement.

CONFIDENTIALITY
Both parties agree to protect any confidential information shared during the engagement — including business data, lead information, pricing, strategy, and trade secrets.
This obligation survives the termination of our agreement and applies indefinitely unless the information becomes publicly known through no fault of the receiving party.

LIABILITY
To the maximum extent permitted by applicable law, EXELVO AI's total liability for any claim arising from or relating to these Terms or the services is limited to the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, punitive, or special damages — including lost profits, lost revenue, or business interruption — even if advised of the possibility of such damages.
Nothing in these Terms excludes liability that cannot be excluded by law, including liability for fraud or personal injury.

TERMINATION
Either party may terminate the agreement with written notice. Month-to-month subscriptions require no minimum notice period.
On Termination:
We will cease all active processing within 7 days
All client-owned assets will be handed over within 14 days
Outstanding invoices remain payable
Confidentiality obligations survive termination
We may suspend or terminate services immediately for breach of these Terms, non-payment beyond 14 days, or use of our services in violation of law.

ACCEPTABLE USE
You agree not to use EXELVO AI's services to:
Violate any applicable law, regulation, or third-party rights
Send spam, unsolicited marketing, or deceptive communications
Process data you do not have legal authority to process
Attempt to reverse-engineer or circumvent our systems
Interfere with or disrupt our infrastructure
Violations may result in immediate suspension or termination.

INDEMNIFICATION
You agree to indemnify and hold EXELVO AI and Parakeeet AI Pvt. Ltd. harmless from any claims, damages, or liabilities arising from:
Your use of our services in violation of these Terms
Your violation of any applicable law or third-party rights
Data you provide us that you do not have the legal right to share
Any communications sent via our platform at your direction

GOVERNING LAW
These Terms are governed by the laws of India.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in the city of Parakeeet AI Pvt. Ltd.'s incorporation, except where local consumer law requires otherwise.

CHANGES TO THESE TERMS
We may update these Terms from time to time. Material changes will be notified via email or on-site notice at least 30 days before taking effect.
Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
